The purpose of this booklet is to reinforce the thesis that the committee on directors of a foundation board must perform with excellence if the board as a whole is to fulfill its responsibilities with distinction. The committees principal responsibilities include assembling the right mix of director talent, training and organizing that talent, judging director performance, and motivating and rewarding directors. This booklet contains an extensive discussion of typical committee responsibilities, an elaboration of organizing principles and practices, and a broadly inclusive list of implementing policies and practices. From this template, a board can design its own unique committee on directors, while being responsive to its history, culture, and governance expectations and those of the host institution. While there is no single model for the committee on directors, there are important principles to respect. Appendixes contain a board composition worksheet, the a director report card, and a director self-assessment sheet. (SLD)
