The Executive Committee. AGB Effective Committee Series
Legon, Richard D.
Association of Governing Boards of Universities and Colleges
This publication is part of an Association of Governing Boards of Universities and Colleges (AGB) series devoted to strengthening the role of key standing committees of governing boards. While there is no optimum committee system for institutions of higher education, certain principles, practices, and procedures prevail. The best practices outlined here support the objectives of board committees: (1) focused effort; (2) informed decision making; and (3) self-management. Within a board's governance structure, the executive committee can be uniquely influential. As the only committee vested with the possibility of almost complete fiduciary authority, the executive committee has the potential to affect the overall performance of the board-adding value when done well and creating problems if it overreaches. Author Richard D. Legon, president of AGB, explains how an effective executive committee can further good governance, institutional well-being, and board member engagement by striking an appropriate balance between the efficient use of board officers (and other leaders) and the full board's authority. When shaping the responsibilities of an executive committee, the end goal should be the furtherance of effective oversight and strategic board engagement. "The Executive Committee" includes information on the purpose, scope, and responsibilities of the committee, guidelines for composition, and tips to maximize effectiveness. It also provides sample charters for public, independent, and foundation executive committees. Sections that are provided include: (1) "A Delicate Board Balancing Act"; (2) "Purpose and Scope of the Executive Committee"; (3) "Responsibilities of the Executive Committee"; (4) "Committee Composition"; (5) "Tips for Effective Executive Committees"; (6) "Pitfalls to Avoid"; and (7) "Conclusion". References and resources are provided. Appended are: (1) Survey Results of Executive Committee Structures and Practices; (2) Sample Executive Committee Charter (Independent Institutions); (3) Sample Executive Committee Charter (Public Institutions); and (4) Sample Executive Committee Charter (Related Foundations).
