The purpose of the study was to explore whether there are relationships between elements of information technology (IT) governance, strategic planning, and strategic functions among senior and mid-level management at medium-scaled software development firms. Several topics and models of IT governance literature were discussed and the gap in literature of the impact on strategic planning and strategic decision-making in software development firms was identified. The literature review discussed and evaluated IT governance themes, limitations, models, and methodologies. A non-experimental, correlative quantitative research methodology was utilized to determine the extent to which relationships exist between elements of IT governance models affecting the strategic planning and strategic decision-making among management to gain competitive advantage. Results suggest that there is a strong positive correlation between IT Governance and strategic management functioning from management. The results from the analysis revealed that management level acted as a moderator variable contributing to greater accuracy of the model as the linear correlation between the independent variable and the dependent variable in the study relatively increased. The upper executive level has a significant negative effect on IT governance; hence an indirect linear association. The strategic management functioning of the upper management level has a significant effect on IT governance this was evident from the statistical significance of the two-way interaction in the regression analysis.
